Gulf National Holding Company, designated as a Kuwaiti closed shareholding entity, was constituted under the legally authenticated Memorandum of Association No. 185/leather 59, dated October 13, 1987, along with subsequent amendments. The company is registered with the commercial registration number 27728. Originally known as Gulf National Foods, the company was founded in alignment with the Commercial Companies Law and its Articles of Association, shared amongst the respective shareholders.
On April 25, 2016, it was publicly declared that Gulf National Holding Company had undergone a share divide, issuing approximately 1.33 new shares for each share held in the Kuwait Food Company - Americana (excluding treasury shares), as recorded at the time of the Ordinary General Assembly.
In a resolution passed by the Extraordinary General Assembly on February 29, 2016, the company's legal structure was modified from a closed Kuwaiti shareholding company into a Kuwaiti closed shareholding company. Concurrently, the company's name was changed from Arabian Gulf Food Company (Americana) to Gulf National Holding Company.
Capital Structure of the Company:
As detailed in the Gulf National Company's annual financial report for the fiscal year ending December 31, 2021, the authorized, issued, and fully paid-up capital is KD 8.580 million, a reduction from the previous year's capital of KD 26 million in 2020. This capital is allocated across 85.8million shares, each with a nominal value of 100 fils, and all shares are paid in cash.
