The ordinary general assembly of Gulf National Holding Company is scheduled to take place on Thursday, March 27, 2025.
The agenda includes reviewing reports from the Board of Directors and the company’s auditors, as well as discussing penalties issued by regulatory authorities and transactions with related parties that have occurred or will occur.
The assembly will also review the financial statements for the fiscal year ending December 31, 2023, with a proposed allocation of 10% of the net profits to the legal (mandatory) reserve amounting to KWD 217,742 (Two Hundred Seventeen Thousand Seven Hundred Forty-Two Kuwaiti Dinars), and the Board's proposal to refrain from distributing dividends for the financial year ending in 2023.
Additionally, the assembly will discuss approving the Board’s recommendation to not grant bonuses to Board members and to exonerate them from any administrative, financial, and legal actions related to their conduct for the fiscal year ending December 31, 2023, as well as the election of a new Board of Directors for the next three years.
The assembly will also address the appointment or re-appointment of auditors for the fiscal year ending December 31, 2024, and authorize the Board of Directors to determine their fees.
