Welcome to Almowazi platform (almowazi.com) (the “Platform”), the leading platform to secure communication between investors and their investment objectives in unlisted shareholding companies in Boursa Kuwait, through an integrated electronic program that covers all the main needs of historical information, real-time prices, and instant trading through the OTC system for trading unlisted securities through your broker.
 

1. Introductions
   1. These terms and conditions (the “Terms and Conditions”) govern your use of the Platform.
   2. By using the Platform, you fully accept these Terms and Conditions. Accordingly, if you do not agree with these Terms and Conditions or any part thereof, you can contact the Platform administration, or stop using the Platform.
   3. If you [register on the Platform, submit any materials to the Platform, or utilize any of the Platform services], Almowazi will ask you to expressly agree to these Terms and Conditions.
   4. The Platform uses cookies; by using the Platform or agreeing to these Terms and Conditions, you consent to Almowazi’s use of cookies in accordance with the terms of Almowazi [Privacy Policy].
   5. Your acceptance of these Terms and Conditions is considered as an approved electronic signature signed in Almowazi electronic system and confirms the validity of the transaction and contract, through the application of the provisions of Law No. 20/2014 on electronic transactions.
   6. The subscriber undertakes to use the services or packages provided through the platform only for their intended purpose, which is the use of the terms and services offered through the package or service. The subscriber also commits to complying with the terms and conditions specific to the service or package for which they have subscribed.
   7. The subscriber acknowledges that the packages and services are merely tools to help achieve their goals and that the subscriber is fully aware of the possible risks associated with the use of these services. The subscriber assumes full responsibility for any damage that may occur to them or their representative because of using these services. The provider (Almowazi) does not bear any responsibility in case the client fails to achieve the intended goal through their subscription to the services or packages.
   8. Almowazi does not assume any responsibility for any losses or damages that the client may incur as a result of subscribing to the services and packages available on the platform.
   9. The client acknowledges that Almowazi will not be responsible for any errors or delays that may occur in the provision or execution of services.


2. Definitions
   1. Stock Exchange: means Boursa Kuwait.
   2. The Authority: means The Capital Markets Authority.
   3. OTC System: means Over-The-Counter system, operated by Boursa Kuwait for trading shares of unlisted joint stock companies. 
   4. Almowazi: means Almowazi Co. for Financial and Economic Consultations.
   5. Platform: means the website (almowazi.com), which includes data and information available to “Visitors/Users” and includes free and paid services for “subscribers”.
   6. Service: means the service provided by the Platform to the Subscriber only without the "Visitor / User", and includes free services available to all subscribers and services that require subscription to one of the subscription packages and pay the value of that package.
   7. Subscriber: means Anyone who subscribes to the Service.
   8. Visitor/User: means Anyone who browses the Platform, without subscribing to the Service, and does not have an account.
   9. Your account: means the subscriber's account in the Service on the Platform and is referred to on the Platform as "Your Account”.  Almowazi has the right to change the word "Your Account" to any other word it deems appropriate to refer to the account at any time without the need to notify the subscriber.
   10. Trading Account: means a subscriber's trading account with a registered broker.
   11. Shareholder: means an individual, enterprise or company that owns shares in an unlisted joint stock company.
   12. Share(s): means a share in the ownership of an unlisted shareholding company.
   13. Trading: means the process of buying and selling shares of unlisted companies through OTC system.


3. Copyright:
   1. The contents of the Platform, including but not limited to (text, reports, graphs, images, logos, icons buttons, photographs, editorial content, notices, notifications (including email-based computer programs) and other materials, are protected under Kuwaiti law and other applicable copyright and trademark laws. The User/Subscriber acknowledges and agrees that the Platform and/or the Service and all consequent primary and secondary softwares used to access the Platform is confidential information owned and maintained by copyright laws. The User/Subscriber also acknowledges that the contents of advertisements, products, services or information provided to the User/Subscriber through the Platform and/or the Service are protected rights and owned by Almowazi /  the Platform, except for materials explicitly authorized for use by Almowazi within legally permissible limits and without any liability on the Platform arises from such usage, in accordance with the terms outlined in these Terms and Conditions regarding the use of the Platform content.
   2. This Platform is owned by Almowazi which owns the copyright to all materials and information displayed on this Platform.
   3. Subject to the provisions of these Terms and Conditions:
      • Almowazi owns and control all copyright and other intellectual property rights on the Platform and the materials on the Platform.
      • All copyright and other intellectual property rights on the Platform and the materials on the Platform are reserved.


4. License for use
   1. You are permitted to:
      • View pages from the Platform.
      • Download pages from the Platform for temporary storage.
      • Print pages from the Platform.
      • Use the services of the Platform, subject to the other provisions of these Terms and Conditions.
   2. Except as expressly permitted in this section or other provisions of these Terms and Conditions, you must not download any material from the Platform or save any such material on your device.
   3. You may only use the Platform for your own personal use, and you must not use the Platform for any other purposes.
   4. Except as expressly permitted under these Terms and Conditions, you must not modify any material on the Platform.
   5. Unless you own or control the relevant rights in the material, you must not:
      • Republish material from the Platform (including republication on another platform).
      • Sell, rent, or sub-license material from the Platform.
      • Make any material from the Platform publicly available.
      • exploit material from the Platform for commercial purposes.
      • Redistribute materials from the Platform.
   6. Despite this section, you are allowed to redistribute [our newsletter] in [both print and electronic form] to [any person] 
   7. Almowazi reserves the right to restrict access to areas of the Platform, or the entire Platform, at Almowazi’s discretion; you must not circumvent or bypass, or attempt to circumvent or bypass, access restriction measures on the Platform.


5. Acceptable use
   1. You must not:
      • Use the Platform in any way or take any action that causes, or may cause, damage to the Platform or impairment of the performance, availability or accessibility of the Platform;
      • Use the Platform in any way that is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity;
      • Use the Platform to copy, service provider, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, mobile or computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious mobile or computer software;
      • Conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to the Platform without Almowazi’s express written consent;
      • Access or otherwise interact with the Platform using any robot, spider or other automated means.
      • Violate the directives set out in the robots.txt file for the Platform; or
      • Use data collected from the Platform for any direct marketing activity (including without limitation email marketing, SMS marketing, telemarketing and direct mailing).
   2. You must not use data collected from the Platform to contact individuals, companies or other persons or entities.
   3. You must ensure that all the information you supply to Almowazi through the Platform, or in relation to the Platform, is true, accurate, current, complete and non-misleading.


6. Registration and accounts
   1. To be eligible for an individual account on the Platform under this Section you must be at least 18 years old.
   2. You may register for an account with the Platform by completing and submitting the account registration form on the Platform, and clicking on the verification link in the email that the Platform will send to you.
   3. You must not allow any other person to use your account to access the Platform and if such a thing happened the platform will not be liable for any consequences.
   4. You must notify Almowazi in writing immediately if you become aware of any unauthorized use of your account.
   5. You must not use any other person's account to access the Platform, unless you have that person's express permission to do so.


7. Almowazi Reports
   1. The reports issued by Almowazi, are owned by it as a private right, and subject to copyright, and therefore it is prohibited to sell, copy or quote parts of these reports without obtaining the prior written consent of Almowazi. Any User, after obtaining the permission of Almowazi  to use these reports, must clearly state the explicit name of Almowazi Financial and Economic Consultations Company as a source, and that the purpose of the reports is to disseminate general information only. These reports should not be construed as an invitation to buy, sell or to make decisions regarding trading of any securities or to participate in any particular trading strategy. The information and statistical data included in these reports are obtained from publicly available information provided by official and authorized sources. There is no warranty or guarantee, whether explicitly or implicitly, that this information and data are accurate or complete, and therefore cannot be relied upon in making any decisions. The opinions, interpretations, estimates and expectations contained in these reports are based on the data available when preparing these reports, do not necessarily reflect the opinion of Almowazi, and are subject to change without the need to give prior notice. Almowazi  is not obligated to update, amend or make a change to these reports, or to notify the "investor/beneficiary/user/reader/informed party" of these reports in the event that any matter, opinion, expectation or estimate described in these reports changes, or becomes inaccurate or incorrect at a later time.

The content of linked websites does not constitute in any form part of these reports. The "investor/beneficiary/user/reader" bears the responsibility for accessing these websites or links mentioned in these reports or the Plarform, without any liability on Almowazi.


8. Electronic fraud, Viruses, and Network services - Internet:
   1. The User/Subscriber acknowledges not to deal with any robot, spider, scanning tool, deep link or other similar automated tools for collecting or extracting data, software, algorithms or methodologies to access, obtain, copy or monitor the Platform and/or the Service or any part of the Platform, without the express prior written consent of Almowazi.
   2. The Subscriber also acknowledges not to use or attempt to use any engine, operating software, tools, elements or other means or mechanisms (including but not limited to browsing tools, spiders, robots, renderers or smart agents) to roam or search the Platform, except for search engines and search tools available through the Platform, and except for browsing tools generally available to third parties (such as Microsoft Explorer/Firefox/ Safari).
   3. The User/Subscriber also acknowledges not to upload or transmit any file that contains viruses, worms, Trojan or any other contaminated or destructive features, or on the second hand interfere with the proper functioning of the Platform and/or Service, or attempt to decipher, disperse, disassemble or re-engineer any of the drivers that constitute or in any other way be part of Platform and/or Service.
   4. The User/Subscriber also acknowledges that it is not permissible to copy or use the personal identification information or contact information of other customers without their prior express consent, which must be obtained through Platform, and it is prohibited to use emails, regular mails or phone calls of individuals or companies obtained through the Services.
   5. Almowazi does not guarantee that there will be no obstacles to the Internet service for the transmission of information or communications and disclaims any responsibility or objection to any such information or communications, nor does it provide any guarantees regarding the speed or availability of security protection for the Platform and/or Services.


9. User IDs & Passwords
   1. If you register for an account with the Platform, you will be asked to choose a user ID and password.
   2. Your user ID must not be misleading and must adhere to the content rules outlined in the Terms and Conditions. You must not use your account or user ID for identity impersonation of any person. 
   3. You must keep your password confidential.
   4. You must notify Almowazi in writing immediately if you become aware of any disclosure of your password.
   5. You are responsible for any activity on the Platform arising out of any failure to keep your password confidential, and may be held liable for any losses arising out of such a failure.


10. Cancellation and suspension of account
    Almowazi may:

      At any time at Mowazi’s sole discretion without notice or explanation.


11. Suspension or Modification of Service:
    Your access to the Platform and/or  Services and your use of them may be interrupted from time to time for various reasons, including, but not limited to, failure of equipment, periodic updating, maintenance, repair or other actions that Almowazi may choose to take, in its sole discretion.  Almowazi cannot always anticipate or predict technical or other difficulties that may result in the failure to access data or the loss of data, personalized settings, or other forms of service interruption.  Almowazi cannot take responsibility for the exact timeliness, accuracy, omission, non-delivery or failure to store any information, communications or personalized settings for the client. For example, when displayed through the service, account information is only as current as of the date displayed. You can update your account information through the service, as described in the relevant instructions.


12. Your content: license
    1. In these Terms and Conditions, "your content" means all works and materials (including without limitation text, graphics, images, audio material, video material, audio-visual material, scripts, software and files) that you submit to Almowazi or the Platform for storage or publication on, processing by, or transmission via, the Platform.
    2. You grant to Almowazi a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, service provider, adapt, publish, translate and distribute your content in any existing or future media and to reproduce, service provider and publish your content on and in relation to this Platform and any successor Platform to reproduce, service provider and, with your specific consent, publish your content on and in relation to this Platform.
    3. You grant to Almowazi the right to sub-license the rights licensed.
    4. You grant to Almowazi the right to bring an action for infringement of the rights licensed.
    5. You hereby waive all your moral rights in your content to the maximum extent permitted by applicable law; and you warrant and represent that all other moral rights in your content have been waived to the maximum extent permitted by applicable law.
    6. You may edit your content to the extent permitted using the editing functionality made available on the Platform.
    7. Without prejudice to Almowazi’s other rights under these terms and conditions, if you breach any provision of these Terms and Conditions in any way, or if Almowazi reasonably suspect that you have breached these Terms and Conditions in any way, Almowazi may delete, unpublish or edit any or all of your content


13. Your content: rules
    1. You undertake and acknowledge that your content will comply with these Terms and Conditions.
    2. Your content must not be unlawful, infringe upon the legal rights of any person, or be capable of giving rise to legal action against any person (in each case in any jurisdiction and under any applicable law).
    3. Your content, and the use of your content by Almowazi in accordance with these Terms and Conditions, must not:
       • Be defamatory or false by mistake.
       • Be obscene or indecent;
       • Infringe any copyright, moral right, database right, trade mark right, design right, right in passing off, or other intellectual property right;
       • Infringe any right of confidence, right of privacy or right under data protection legislation;
       • Constitute negligent advice or contain any negligent statement;
       • Cnstitute an incitement to commit a crime, instructions for the commission of a crime or the promotion of criminal activity;
       • Be in contempt of any court, or in breach of any court order;
       • Be in breach of racial or religious hatred or discrimination legislation;
       • Be blasphemous;
       • Be in breach of official secrets legislation;
       • Be in breach of any contractual obligation owed to any person;
       • Depict violence in an explicit, graphic or gratuitous manner.
       • Be pornographic, lewd, suggestive or sexually explicit.
       • Be untrue, false, inaccurate or misleading.
       • Consist of or contain any instructions, advice or other information which may be acted upon and could, if acted upon, cause illness, injury or death, or any other loss or damage.
       • Constitute spam
       • Be offensive, deceptive, fraudulent, threatening, abusive, harassing, anti-social, menacing, hateful, discriminatory or inflammatory; or
       • Cause annoyance, inconvenience or needless anxiety to any person.


14. Limited warranties
    1. Almowazi do not warrant or represent:
       • The completeness or accuracy of the information published on the Platform;
       • That the material on the Platform is up to date; or
       • That the Platform or any service on the Platform will remain available.
    2. Almowazi reserves the right to discontinue or alter any or all of the Platform services, and to stop publishing the Platform, at any time in Almowazi’s sole discretion without notice or explanation; and save to the extent expressly provided otherwise in these Terms and Conditions, you will not be entitled to any compensation or other payment upon the discontinuance or alteration of any Platform services, or if Almowazi stops publishing the Platform.
    3. To the maximum extent permitted by applicable law, Almowazi excludes all representations and warranties relating to the subject matter of these Terms and Conditions, the Platform and the use of the Platform.


15. Legal Disclaimer of Undertakings and Guarantees:
    1. The content and all services and products associated with the Platform and/or Services are provided to you on an "as is" or "as available". The Platform makes no representations or warranties of any kind, whether express or implied, regarding the content or operation of the Platform and/or Services, and therefore you expressly acknowledge and agree that your use of the Platform and/or Services involves risks that are solely borne by you without any liability to Almowazi and/or the Platform. The Platform does not make any representations, warranties or guarantees, whether express or implied, regarding the accuracy or the reliability or completeness of the content on the Platform and/or  Services, whether such content is provided by the Platform or any third party.
    2. Almowazi legally disclaims any warranties regarding non-infringement or suitability. Almowazi and/or the Platform do not provide any representations, warranties, or guarantees that the content is free from viruses, codes, or routine procedures related to computer programming that may contain contaminated or destructive properties, or that are intended to destroy, intercept, or take over any system, data, or personal information.


16. Disclaimer:
    1. The Platform is not a registered stock exchange, financial planner, broker, investment broker, tax advisor or investment advisor, nor does the Platform provide any legal, tax or financial advice, nor is it registered in the register of brokerage institutions with the Stock Exchange or the Capital Markets Authority.
    2. Through the Platform you can only access the information that is publicly available and published by official and authorized entities related to unlisted companies. Through the provision of its services, the Platform aims to offer information only, without any warranties regarding the accuracy, completeness, timeliness, or publication date of that information. As a result, this information cannot be relied upon for making any investment decisions. Any information displayed or published through the Platform should not be interpreted as an invitation to buy or sell, nor as a recommendation to make decisions related to trading any financial securities or participating in any specific trading strategy.
    3. Almowazi, from time to time, publishes laws, regulations, or directives through the Platform, solely for informational purposes. Almowazi does not guarantee that such laws, regulations or directives it publishes on the Platform are up-to-date. The Arabic language is the official language approved in issuing those laws, regulations or directives, and therefore in the event that  the Platform translates and displays them in English, the purpose is to facilitate the provision of key information to those whose native language is not Arabic. The Platform is not responsible for consequences resulting from a wrong understanding of the translation of those laws, regulations and directives, or use of the electronic texts displayed on the site in both Arabic and English. Interested parties can review the sources of those laws, regulations and directives to obtain the approved originals from them, and their amendments.
    4. It is prohibited to use the Platform or the programs provided by the Platform and/or  Service in a way that may cause damage, malfunction, stress, or sabotage of the Platform or any of its programs, electronic systems, services or networks to which they are linked, and you must refrain from any attempt to access without permission any of the the Platform programs, electronic systems, services or networks to which they are linked, or another users account through hacking or stealing the secret code or other methods. You must also refrain from making any attempt to obtain materials or information that is not available on the Platform through its website, programs, electronic systems or services.
    5. Linking the the Platform to other websites is for easy access, and Almowazi will not be responsible for the consequences of accessing those websites and data mentioned therein.
    6. The Platform disclaims responsibility for any deficiency, error or delay in the publication of data and information, and therefore for any claims and/or losses of any kind arising directly or indirectly from the use of such data and information available on the Platform or in one of its bulletins or publications or the use of one of the programs or electronic systems it provides.
    7. Under no circumstances will Almowazi be held responsible or liable to you or any third party for any indirect, special, incidental, consequential, punitive, foreseeable, or exemplary damages, including but not limited to loss of profit, revenue, or business, arising wholly or partially from your access to the Platform or your use of theService under the terms of the Terms of Use and Subscriber Agreement. Even if Almowazi has been informed of the possibility of such damages, the liability of Almowazi towards you for any reason is void, regardless of the form of action. Therefore, you expressly agree and acknowledge to the non-liability of Almowazi or any of its contributors, managers, contractors, or affiliates for any damages or losses that may be incurred by you as a result of using the Platform and/or  Service, or the information contained therein, whether directly or indirectly.
    8. If you use a publishing board, blog, chat room or other webinar on the Platform and/or Service, you understand that any personally identifiable information you provide may be read, collected and used by other users of such webinars, and may also be used to send you messages that you have not requested, and Almowazi are not responsible for the personally identifiable information you choose to provide in such webinars. 


17. Limitations and exclusions of liability
    1. These Terms and Conditions do not include the following:
       • Limit or exclude any liability for death or personal injury resulting from negligence.
       • Limit or exclude any liability for fraud or fraudulent misrepresentation.
       • Limit any liabilities in any way that is not permitted under applicable law.
       • Exclude any liabilities that may not be excluded under applicable law.
    2. The limitations and exceptions of liability stated in this section and elsewhere in these Terms and Conditions:
       • Govern all obligations arising under or related to these Terms and Conditions, including contractual obligations and liability (including negligence) and breach of legal duty, except as expressly provided in this contract.
    3. To the extent that the Platform and the information and services on the Platform are provided free of charge, Almowazi will not be liable for any loss or damage of any nature.
    4. Almowazi will not be liable to you in respect of any losses arising out of any event or events beyond Almowazi’s reasonable control.
    5. Almowazi will not be liable to you in respect of any business losses, including (without limitation) loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities or goodwill.
    6. Almowazi will not be liable to you in respect of any loss or corruption of any data, database or software.
    7. Almowazi will not be liable to you in respect of any special, indirect or consequential loss or damage.
    8. You accept that Almowazi has an interest in limiting the personal liability of its officers and employees and, having regard to that interest, you acknowledge that Almowazi is a limited liability entity; you agree that you will not bring any claim personally against Almowazi officers or employees in respect of any losses you suffer in connection with the Platform or these Terms and Conditions (this will not, of course, limit or exclude the liability of the limited liability entity itself for the acts and omissions of Almowazi officers and employees).


18. Products and Offerings from Third Parties:
    There may be separate products and services offered by third parties and advertised on the Platform or through the Service. These products and services may complement your use of the Platform. If you choose to use or benefit from those products or services, and disclose information to the providers and/or grant them permission to collect information about you, their use of your information in such instances is governed by the privacy policy of those entities. You should assess the practices of external service providers before deciding to use their services. The service may provide hyperlinks to other websites on the Internet owned by operators, advertisers, subscribers, or other parties within the Platform and other entities. It is your responsibility and choice to use such links after verifying their accuracy. Almowazi/the Platform does not guarantee or warrant that the products or services available through any of these third parties are accurate. You acknowledge that Almowazi/the Platform is not an agent or intermediary for those parties and is not responsible for the activities or policies of those third parties.


19. Breaching these terms and conditions:
    1. Without prejudice to Almowazi’s other rights under these Terms and Conditions, if you breach these Terms and Conditions in any way, or if Almowazi reasonably suspect that you have breached these Terms and Conditions in any way, Almowazi may: 
       • Send one or more official warnings to you.
       • Temporarily suspending your access to the Platform.
       • Permanently preventing your access to the Platform.
       • Block computers using your IP address from accessing the Platform.
       • Contact any or all of your internet service providers and request them to block your access to the Platform.
       • Initiate legal proceedings against you, whether due to contractual breach or otherwise.
       • Suspend or delete your account on the Platform.
    2. When Almowazi suspends, restricts or blocks your access to the Platform or a part of the Platform, you must not take any action to circumvent such suspension or prohibition or blocking (including without limitation creating and/or using a different account).


20. Amendments
    1. Almowazi may review these Terms and Conditions from time to time.
    2. Amended Terms and Conditions will apply to your use of the Platform from the date the revised Terms and Conditions are published on the Platform. By virtue of this, you waive any right to be notified or to consent to such revisions of these Terms and Conditions. Almowazi will provide you with written notice of any revisions to these Terms and Conditions, and the amended Terms and Tonditions will apply to your use of the Platform from the date this notice is sent to you. If you do not agree with the amended Terms and Conditions, you can contact the Platform management or discontinue your use of the Platform.
    3. If you have given your explicit consent to these Terms and Conditions, Almowazi will seek your explicit consent for any revisions to these Terms and Conditions. If you do not provide your explicit consent to the amended Terms and Conditions within the timeframe Almowazi may specify, Almowazi will disable or delete your account on the Platform, and you must cease using the Platform.


21. Waiver
    1. By accepting these Terms and Conditions, you agree that Almowazi may waive, transfer, subcontract, or otherwise deal with Almowazi’s rights and/or obligations under these Terms and Conditions in any manner.
    2. You are not permitted to waive, transfer, assign, or otherwise deal with any of your rights and/or obligations under these Terms and Conditions without Almowazi’s prior written consent.


22. Force Majeure:
    Neither party shall be responsible for any delay in performing its obligations if the delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, strikes, work stoppages, labor disturbances, acts of the public enemy, wars, sieges, rebellions, riots, epidemics, landslides, earthquakes, fires, storms, floods, civil disturbances, terrorism, government regulations, directives, or any other cause beyond the control of any party claiming a delay, and despite all reasonable efforts, this party is unable to prevent it.


23. Severability:
    1. If any provision of the contract under these Terms and Conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the remaining provisions shall continue to be in effect.
    2. If any unlawful and/or unenforceable provision of the contract under these Terms and Conditions would be lawful or enforceable if part of it were deleted, that part shall be deemed to be deleted, and the rest of the provision shall remain in effect.


24. Third Party Rights:
    1. The contract under these Terms and Conditions is for Almowazi’s benefit and your benefit, and is not intended to benefit any third party or be enforceable by any third party.
    2. The exercise of the rights of the parties under a contract under these Terms and Conditions is not subject to the consent of any third party.


25. Entire Agreement:
    These Terms and Conditions, along with Almowazi’s [Privacy Policy], constitute the entire agreement between you and Almowazi regarding your use of the Platform and replace all prior agreements between you and Almowazi regarding your use of the Platform.


26. Governing Law and Jurisdiction
    1. These Terms and Conditions are governed by and interpreted in accordance with the laws of Kuwait.
    2. Any disputes arising under these Terms and Conditions are subject to the jurisdiction of the courts of Kuwait.
