OTC 140 AAN Digital Services Holding Company has invited its shareholders to attend the Extraordinary General Assembly meeting scheduled to be held on Thursday, September 4, 2025, at 11:30 AM at the company’s headquarters. If the legal quorum is not met, the postponed meeting will be held on Thursday, September 11, 2025, at the same time and place.

The meeting will address the fact that the accumulated losses have reached three-quarters of the paid-up capital and will explore available options including the continuation or dissolution of the company or taking appropriate measures to maintain its continuity.

Additionally, shareholders will review a proposal to reduce the company's authorized, issued, and paid-up capital from KWD 16,254,461 to KWD 2,427,630 to fully offset the accumulated losses of KWD 13,826,831, through the cancellation of 138,268,310 shares at a nominal value of 100 Fils per share, according to the financial statements for the fiscal year ending December 31, 2024.

The meeting will also discuss authorizing the Board of Directors to handle fractional shares resulting from capital reduction.

Furthermore, shareholders will consider amending Article (6) of the Articles of Incorporation and Article (5) of the Company’s Bylaws to reflect the revised capital structure as follows:

“The authorized, issued, and paid-up capital has been set at KWD 2,427,630, divided into 24,276,300 shares, all of which are cash shares,” subject to the approval of the relevant authorities.
