The Board of Directors of Rasameel Investment Company has announced an invitation to its shareholders to attend the Ordinary General Assembly meeting for the fiscal year ending March 31, 2025. The meeting is scheduled for Thursday, August 21, 2025, at 11:00 AM at the company’s headquarters.

The agenda includes reviewing the Board of Directors’ report on the company’s activities, financial position, and performance results, as well as presenting the corporate governance report and the Audit Committee report. 

Additionally, the reports of the Sharia Supervisory Board and the external Sharia audit firm will be read, along with the external auditors’ report on the company’s financial statements and approval of distributable net profit. 

Shareholders will also review the financial statements, profit and loss accounts, and any violations or penalties identified by regulatory authorities, as well as discuss comments from the regulatory representative if present.

The meeting will also cover the Board’s proposal not to distribute dividends or bonuses to board members, review and approve related-party transactions, and authorize dealings with related parties in the coming fiscal year. 

Shareholders will consider the discharge of board members from legal, financial, and administrative responsibilities.

Furthermore, the assembly will address the appointment or reappointment of external auditors from the list approved by the Capital Markets Authority, in line with mandatory rotation requirements for the fiscal year April 1, 2025, to March 31, 2026, and authorize the Board to determine their fees. 

Similarly, the appointment or reappointment of the Sharia Supervisory Board and the licensed external Sharia audit firm for the same fiscal period will be approved, with the Board authorized to set their fees.
