Arabic Digital Holding Company’s extraordinary general assembly, held on July 22, 2025, approved amendments to Article 3 of the Articles of Association and Article 1 of its Bylaws concerning the company’s name. The changes are as follows:

Before the amendment:

“The company’s name is Arabic Digital Holding – a Kuwaiti Joint Stock Company (Holding).”

After the amendment:

“The company’s name is Arabic International Holding Group – a Kuwaiti Joint Stock Company (Holding).”

The assembly also approved an amendment to Article 36 of the company’s Bylaws, which now reads:

•    Candidates for the Board of Directors must meet the following conditions:

o    Must be legally competent.
o    Must not have been convicted of a felony punishable by imprisonment, bankruptcy crimes due to negligence or fraud, offenses affecting honor or integrity, or any imprisonment under the law, unless they have been legally rehabilitated.

o    Except for independent board members, each director must personally own, or represent someone who owns, several of the company’s shares.
o    If a board member loses any of the above conditions or any other conditions required by the Companies Law or other applicable laws, they automatically lose their membership from the date of disqualification.
o    Regulatory authorities should establish corporate governance rules to ensure balanced protection of the company’s management, shareholders, and other stakeholders, and specify the qualifications required for independent board members.
o    Regulatory authorities may require that companies under their supervision include one or more independent members on the board with expertise and competence, elected by the ordinary general assembly, with remuneration set according to governance rules. Independent members may not exceed half of the board, and they are not required to be shareholders in the company.
