The Board of Directors of Amwal International Holding Company (Amwal) invites shareholders to attend the Extraordinary General Assembly meeting scheduled to be held on Thursday, July 17, 2025, at 12:30 PM.

The meeting will discuss amending the article related to the number of Board members. The proposed amendment stipulates that the company shall be managed by a Board of Directors consisting of three (3) members elected by the General Assembly through secret ballot.

Each shareholder, whether natural or legal person, may appoint representatives to the Board of Directors proportional to their shareholding. The number of Board members appointed in this manner shall be deducted from the total number of elected Board members.

Shareholders who have appointed representatives to the Board may only participate in electing the remaining members to the extent that their shareholding exceeds the percentage already used for appointing their representatives.

Groups of shareholders may also form alliances to collectively appoint one or more representatives to the Board according to their combined ownership percentage. The term of Board membership shall be three years, renewable.

The meeting will also discuss adding a new Article (No. 57) to the Articles of Association. The proposed article grants the company preemptive rights to purchase shareholders in the event of a sale, in accordance with applicable laws. Shareholders may not dispose of their shares without the Board’s approval.

A shareholder is obliged to sell if a purchase offer is made for all the company's capital shares and the Extraordinary General Assembly approves the offer, while preserving minority shareholder rights.

The provisions of this article shall be nullified upon the company’s listing on the Boursa Kuwait.
