United Medical Services Company (UMS) will hold its Ordinary General Assembly on Wednesday, July 16, 2025, to review several agenda items, including the Board’s proposal to distribute cash dividends of 3% of the nominal value of the share (3 Fils per share) to shareholders registered as of the date of the meeting.

The total proposed dividend distribution is KWD 735,000 for the fiscal year ending March 31, 2025.

The General Assembly will also:

• Hear and approve the Board of Directors’ report and the auditor’s report for the fiscal year ended March 31, 2025.
• Discuss and approve the company’s financial statements for the same fiscal year.
• Review any regulatory violations and penalties, if any.
• Review related party transactions, both completed and forthcoming.
• Approve the allocation of 10% of net profits amounting to KWD 1,116,403 to the statutory reserve.
• Discuss the Board’s proposal not to distribute bonuses to Board members for the fiscal year ended March 31, 2025.
• Approve authorizing the Board to trade in treasury shares up to 10% of the company’s total shares in accordance with Law No. 7 of 2010 and its executive regulations and amendments.
• Discuss the discharge of the Board members from liability for their financial, legal, and administrative actions during the fiscal year ended March 31, 2025.
• Appoint or reappoint the auditor for the fiscal year ending March 31, 2026, and authorize the Board to determine their fees.
