The extraordinary General Assembly of National Leasing & Financing Company, held on April 23, 2025, approved the amendment to Article (15) of its Articles of Association to read as follows:

• The management of the company shall be undertaken by a Board of Directors composed of five (5) members, appointed by the entity or entities that are allowed to appoint representatives on the Board in proportion with their ownership of shares in the company, while the remaining members shall be elected by the General Assembly through secret ballot.
• The board shall include one or more independent members who meet the conditions required by the regulatory authorities and who possess qualifications, experience, and skills appropriate to the company’s activities.
• These members will be chosen by the ordinary General Assembly, and their remuneration shall be determined in accordance with governance rules, provided that their number does not exceed half of the board members and that it is not a requirement for the independent member to be among the company's shareholders.

The term of the independent member ends at the conclusion of the board's term for which they were selected.
