The extraordinary general assembly UPayments for Electronic Payment and Settlement Systems Company, held on Sunday, March 23, 2025, approved the amendment of Article (28) of its articles of association to read as follows:
"The Board of Directors has the broadest authority in managing the company and may conduct all operations required for the management of the company in accordance with its purposes, and this authority is limited only by what is stipulated by law, regulations, the company's contract, or decisions of the general assembly. The Board of Directors may borrow and mortgage the company’s properties, enter guarantees, release, arbitration, and settlement agreements.
The Board of Directors may distribute responsibilities among its members according to the nature of the company’s business, and it may also delegate one of its members or a committee of its members, or any other person to carry out a specific task or more, or to supervise a particular aspect of the company’s activities or to exercise some of the powers and competencies entrusted to the board."
