The Board of Directors of OTC 237 Kout Food Group Company has called upon its shareholders to attend an extraordinary general assembly scheduled for Wednesday, March 26, 2025, to discuss the approval of the Board’s proposal to reduce its authorized, issued, and paid-up capital from KWD 6,691,869.500 (six million, six hundred ninety-one thousand, eight hundred sixty-nine Kuwaiti Dinars and five hundred Fils) to KWD 6,678,194.500 (six million, six hundred seventy-eight thousand, one hundred ninety-four Kuwaiti Dinars and five hundred Fils), a reduction of KWD 13,675 (thirteen thousand, six hundred seventy-five Kuwaiti Dinars), by cancelling treasury shares owned by the company, which amount to 136,750 shares, in accordance with the procedures established by the Capital Markets Authority.

The Chairman and the CEO will be authorized to undertake all necessary actions and sign all required applications and documents of any nature related to this matter.

The assembly will also discuss amending Article 6 of its founding contract and Article 5 of its articles of association, granting the Chairman and the CEO the authorization to take all necessary actions and sign all required applications and documents of any nature related to this amendment, which will clarify that the company’s authorized, issued, and paid-up capital is set at KWD 6,678,194.500 (six million, six hundred seventy-eight thousand, one hundred ninety-four Kuwaiti Dinars and five hundred Fils) divided into 66,781,945 shares (sixty-six million, seven hundred eighty-one thousand, nine hundred forty-five shares) with a nominal value of one hundred Fils per share, where all shares are monetary.

He clarified that if the legal quorum for holding the extraordinary general assembly is not met, the meeting will be postponed for a week and will take place on April 2, 2025, at the same location.
