The Board of Directors of OTC 277 AlNawadi Holding Company has invited its shareholders to attend the extraordinary general assembly for the fiscal year ending December 31, 2024, on Wednesday, March 26, 2025, at its headquarters.

The meeting will focus on discussing the increase of its authorized, issued, and paid-up capital from KD 25,527,843 (only twenty-five million five hundred twenty-seven thousand eight hundred forty-three Kuwaiti Dinars) to KD 26,804,235.150 (only twenty-six million eight hundred four thousand two hundred thirty-five Kuwaiti Dinars and 150 Fils). This increase will be achieved by distributing bonus shares to shareholders at a rate of 5% of its authorized, issued, and paid-up capital, amounting to KD 1,276,392.150 (only one million two hundred seventy-six thousand three hundred ninety-two Kuwaiti Dinars and 150 Fils), to shareholders registered in the company’s records as of the date of the general assembly.

Additionally, the meeting will discuss amending Article (5) of its Articles of Incorporation and Article (6) of its articles of association to state after the amendment as follows:

The authorized, issued, and paid-up capital of the company is set at KD 26,804,235.150 (only twenty-six million eight hundred four thousand two hundred thirty-five Kuwaiti Dinars and 150 Fils), divided into 268,042,351 shares (only two hundred sixty-eight million forty-two thousand three hundred fifty-one shares), with a nominal value of 100 Fils per share, and all shares are cash.
