ALOula Real Estate Investment Company is set to hold an Extraordinary General Assembly on Wednesday, December 25, 2024, to consider the approval of the proposed merger agreement, which entails the examination of asset valuations and reports from independent investment advisors regarding the planned merger by absorption with Arkan AL - Kuwait Real Estate Company.
During this assembly, key discussions will focus on the approval of the fair exchange ratio between the shares of both companies, ensuring that the interests of all shareholders are adequately addressed.

The assembly will also evaluate the approval of the merger itself, where ALOULA Real Estate Investment CO. (the merged entity) will be absorbed by Arkan AL- Kuwait Real Estate CO. (the absorbing entity). This includes an endorsement to proceed with all necessary merger-related procedures.

Furthermore, attendees will discuss the dissolution of AlOULA Real Estate Investment Co., along with the subsequent transfer of its financial assets and liabilities to Arkan Kuwait Real Estate. 
It is important to note that the legal status of the merged company will remain until all shareholders are registered in the shareholder registry of Arkan Kuwait Real Estate CO.. 
The legal personality of AlOULA will cease upon the completion of the merger process and its removal from the records of the Companies Affairs Department at the Ministry of Commerce and Industry.

Additionally, the assembly will deliberate on the authorization of the Board of Directors, or those delegated by them, to carry out the decisions made in the General Assembly in line with the defined procedures and timelines pertinent to the merger.
