Saudi Enterprise Group reduced its capital to KWD 2.1 million

Saudi Enterprise Group Holding Company has made the following adjustments to its capital structure: A reduction of KWD 507,326 was implemented to fully eliminate the accumulated losses balance as of 31 December 2022. Additionally, 5,073,260 capital shares were canceled as part of this process. The company has also decided to cancel 3,926,740 surplus shares that were no longer required. In exchange for this cancellation, KWD 392,674 will be paid to the shareholders as of the EGM date, pro rata, to their interest in the company’s capital. The Board of Directors was authorized to manage fractional shares, if any.  

The company held its Extraordinary General Meeting (EGM) on Monday, 24 July 2023, and approved to amend Article (6) of the Memorandum of Incorporation and Article (5) of the Articles of Association, as follows: The company’s authorized, issued, and paid-up capital was set at KWD 2.1 million, distributed over 21 million shares, at a nominal value of 100 fils per share, all paid in cash. All recommendations are subject to receiving regulatory approvals.
