Hayat Investment Company held its Extraordinary General Meeting (EGM) for the financial year ended 31 December 2022 (amended), on Thursday, 13 April  2023 and approved to amend Article (5) of the Memorandum of Incorporation and Article (4) of the Articles of Association, as follows:

Engage in investments in the commercial, real estate, industrial, agricultural, and services sectors through establishing companies, acquire shares or bonds of such companies for the benefit of the company, and manage the investment portfolio. Act as a non-registered securities broker, facilitate financing operations and participate in international trade transactions. Provide financing to others while adhering to the principles of financial soundness and maintaining the company's financial position in accordance with the conditions, rules, and limits set by the Central Bank of Kuwait, and in compliance with Islamic Sharia principles. Engage in foreign exchange market and precious metals market trading, both domestically and internationally, on behalf of the company. Offer services that contribute to the development and support of the financial and monetary market in Kuwait, meeting its needs, and comply with applicable laws, regulations, instructions, and decisions issued by the Central Bank of Kuwait. Own intellectual property rights, such as patents, trademarks, industrial models, franchise rights, and other intangible rights, and lease or leverage them to affiliated holding companies and other entities. Invest company funds in various approved investment opportunities, primarily through Murabaha and Ijarah methods, including movable and immovable assets, and engage in leasing and selling transactions under the Murabaha arrangement. Manage collective investment schemes.

The company may directly engage in the aforementioned activities in Kuwait and abroad, either independently or through agency agreements. The company may also have an interest in or collaborate with entities and companies that engage in similar activities, and which may assist in achieving its objectives in Kuwait or abroad. The company may establish, participate in, or acquire such entities or companies, in accordance with the provisions of Islamic Sharia.
