Kout Food Group Company announced in a statement issued today, Thursday, 27 April 2023 that, pursuant to the provisions of Law No. (7) of 2010 Regarding the Establishment of the Capital Markets Authority and Regulating Securities Activities and its Executive Bylaws, and their amendments, the company obtained the approval of the Capital Markets Authority (CMA) on 19 April 2023 to buy up to 10% of its own capital (treasury shares).

The company has instructed that shareholders who wish to sell their shares should indicate their interest in offering them for sale. If the company and the shareholder reach an agreement on the conditions of the sale, the purchase price for the shares offered will be paid in cash. The company's offered purchase price is available upon inquiry, as stated below.

The Company's payment for the shares will not cover brokers' commissions, government expenses, transfer expenses, taxes, or any other charges (as may arise), which each party will be responsible for separately. Additionally, any shares offered must be unencumbered by disputes, burdens, mortgages, or restrictions. This statement should not be considered as an intention, offer, agreement, or understanding to purchase shares in the company's capital unless it is confirmed in writing by the company. The company does not endorse, guarantee, or commit to purchasing any or all the shares offered by shareholders.

Shareholders who wish to offer their shares must conduct their due diligence study and seek advice from their investment advisors at their own expense regarding the offer of their shares and the completion of the purchase by the company.

The company, along with its officers, directors, employees, agents, and consultants, will not be held responsible in this matter. Shareholders who wish to offer their shares must inform the company in writing about their intention and the number of shares they plan to offer on or before Thursday, 11 May 2023.
