Kout Food Group invited its shareholders to attend its next Extraordinary General Meeting (EGM) scheduled on Tuesday, 28 February 2023 at 12:00 p.m. at its headquarters located in Qibla, Al-Soor Street, Yaqoub Al-Humaidhi Building, 3rd floor. The EGM will discuss reducing the number of members of the Board of Directors from six (6) to five (5) members, by amending Article (13) of the Company’s Articles of Association, which states that the company shall be managed by a board of directors consisting of six (6) members elected by the General Assembly by secret ballot. The modified Article shall be as follows: The Company is managed by a board of directors consisting of five (5) members elected by the general assembly by secret ballot. The term of membership in the board is three years, subject to renewal. If it was not possible to elect a new board of directors on the date specified for that purpose, the existing board continues to manage the company’s affairs until the situation is resolved and a new board of directors is elected. The company said that in the event that the quorum wasn’t met, the EGM will be postponed until, 7 March 2023, at 12:00 p.m. at the same place.
