Kuwait Dairy Company (KDCOW) held its Extraordinary General Meeting (EGM) on Tuesday, 26 April, 2022, and agreed to increase the company’s authorized, issued and paid-up capital from KWD 2.75 million to KWD 3 million, up by KWD 250,000, through the distribution of 9.091% or 2.5 million bonus shares to shareholders, increasing total amount of capital to KWD 30 million, at a nominal value of 100 fils per share to shareholders registered in the company’s records on the AGM date, subject to receiving the required approvals from the competent authorities, and authorizing the company’s board of directors to dispose of the fractional shares resulting from the distribution of the bonus shares.
Accordingly, Article (6) of the Memorandum of Incorporation and Article (5) of the Company’s Articles of Association were amended as follows: “The Company’s authorized, issued, and paid-up capital was set at KWD 3 million distributed over 30 million shares, at a nominal value of 100 fils per share. All shares are in cash.
