Al Dhiyafa Holding Company will hold its Annual General Meeting (AGM) for the financial year ended 31 December 2020 on Tuesday, 26 April 2022 at 12:00 p.m.  in Kuwait City, Sharq, Al-Shaheed Tower, 9th floor, to discuss the items listed on its agenda, as follows:

Hear and approve the Board of Directors’ report on the company’s business activities during the financial year ended 31 December 2020.

Hear and approve the auditor’s report for the financial year ended 31 December 2020.

Discuss and approved the financial statements and profit and loss account for the financial year ended 31 December 2020. 

Discuss and respond to the report on violations and penalties that were imposed on the company by the regulatory authorities for the financial year ended 31 December 2020 (if any).
Hear and approve the report on the transactions with related parties that took place in the financial year ended 31 December 2020 and  the transactions that will take place in the financial year ending 31 December  2021.
Discuss the board’s recommendation not to distribute dividends to shareholders for the financial year ended 31 December 2020.

Discuss the board’s recommendation not to pay remuneration to board members for the financial year ended  31 December 2020.

Absolve board members and release them from all matters related to their legal, financial, and administrative actions for the financial year ended  31 December 2020.
Elect a new board of directors for the next three years.

Appoint or reappoint the company’s auditor for the next financial year ending 31 December 2021 and authorize the Board of Directors to determine their fees.
