Aref Investment Group will hold its Annual General Meeting (AGM) for the financial year ended on 31 December 2020 on Sunday, 20 February 2022, to discuss the items listed on its agenda as follows: Hear and approve the Board of Directors’ report, the auditors’ report, and the Sharia Supervisory Board report, as well as the violations report and any penalties issued by the regulatory authorities.
Discuss the financial statements and audited profit and loss accounts for the financial year ended on 31 December 2020, approve the Board of Directors’ recommendation not to distribute dividends to shareholders for the financial year ended on 31 December 2020, discuss the Board of Directors’ recommendation not to disburse renumerations to Board members for the financial year ended 31 December 2020, approve the payment of KWD 4,000 to the independent board member, and absolve board members from all matters related to their legal actions for the financial year ended on 31 December 2020.
The upcoming AGM will also discuss authorizing the Board of Directors to buy or sell the company's shares, provided they do not exceed 10%, in accordance with the provisions of Law No. 7 of 2010 and its executive regulations and approve the appointment or reappointment of the company’s auditor and members of the Shariah Supervisory Board for the financial year ended on 31 December 2021 and authorizing the Board of Directors to determine their fees.
