The Industrial and Financial Investment Company, a closed Kuwaiti shareholding entity, was established within the State of Kuwait in the year 1983, pursuant to the Articles of Association by Document No. 71, Series 1, duly executed on the 4th of April, 1983. Subsequently, it acquired registration as an investment company from the Central Bank of Kuwait on the 17th of May, 1998. The governance of the company falls under the oversight of both the Central Bank of Kuwait and the Capital Markets Authority. The public offering of the company's shares commenced on the Kuwait Stock Exchange on the 6th of July, 1996, and the company is presently recorded in the commercial register with the number 34910.
In accordance with directives issued by the Capital Markets Authority of the State of Kuwait, the company's shares were delisted from the Kuwait Stock Exchange main market on the 22nd of January, 2014.
On 26 June 2016, at the Extraordinary General Assembly Meeting of Shareholders, the liquidation of the Company was approved by a majority of 51%. On July 21, 2016, the liquidation of the company was marked in the Commercial Register.
On October 4, 2019, the company was removed from the Investment Companies Register at the Central Bank of Kuwait, however, until the date of issuance of these consolidated financial statements, the company's articles of association and memorandum of association have not been amended.
Furthermore, as of the 31st of January, 2020, the Capital Markets Authority announced the termination of the company's securities activities license which has not been renewed. Notwithstanding this directive by CMA, the company retains the responsibility to securely maintain client funds until such time as they are transferred to the clients or to an entrusted entity for their management or safekeeping.
The company started trading on the OTC Platform on 19 March 2024 as hybrid deals.
Regarding the company's capital, the annual financial report for the fiscal year concluded on December 31st, 2021, declares an authorized, issued, and fully paid-up capital for Industrial and Financial Investments at a sum of KD 11,041,623 (consistent with the figure for the year 2020), distributed over 110,416,230 shares with a nominal value of 100 fils each.
